Signiant Defined Terms

1. “Active User” means any Member who uses Media Shuttle in a given month except for those Members who use Media Shuttle only to receive fewer than three (3) file transfers in such month. 

2. “Affiliate” means an entity that owns or controls, is owned or controlled by or is or under common control or ownership with the applicable party, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise. Signiant Affiliates include, without limitation, Levels Beyond, Inc. 

3. “Agent” means an instance of Signiant Home Agent or Peered Agent software for transfer or relay use in connection with Flight Deck. 

4. “Ancillary Software” means any downloadable software provided by or on behalf of Signiant in connection with the services, including without limitation Managers, Agents, APIs, SDCX Server, the Signiant App, and Data Plane API (also known as Media Shuttle SDK). 

5. “Authorized User” means Customer’s Active Users, Members, Permitted Third Parties and other personnel authorized by Customer to use the Services on Customer’s behalf, in each case where permitted (and subject to any limitations) in the Ordering Document, the TOS and the functionality available in the Services 

6. “AUP” means Signiant’s acceptable-use policy, available HERE

7. “Claim” means any claim, suit, proceeding or other action brought against a party to this Agreement by a third party. 

8. “Cloud Data” means the total amount of data, in gigabytes, that Customer consumes in the applicable period across all Services specified in the applicable Ordering Document. The amount of Cloud Data permitted without additional charge, if any, is specified in such Ordering Document, with additional Cloud Data being subject to Overage. For the sake of clarity, Cloud Data consumption includes use of features that pass data through the cloud and files that pass through a Signiant service tier in the cloud. Examples include “app-less transfers” and “Play”. 

9. “Customer” means the company identified as such in the applicable Ordering Document. 

10. “Customer Content” means materials transmitted, uploaded or received by or on behalf of Customer or generated at Customer’s direction through its use of the Services, but excluding in all cases Prohibited Content. 

11. “Data Out Fees” means any fees charged by Customer’s cloud storage provider for data transferred from the Customer’s cloud storage. Data Out Fees, if any, are charged to Customer on a pass-through basis at the cloud storage provider’s then current rates or at fixed rates as set forth in the applicable Ordering Document. 

12. “Documentation” means any specifications, guides, reference documents or other documentation provided by Signiant to Customer in connection with the Services. 

13. “DPA” means Signiant’s standard data processing addendum or such other data processing addendum as the parties may agree and incorporate by reference in an Ordering Document. 

14. “Endpoint” means a server or servers where Jet-related Ancillary Software is installed. 

15. “EULA” means an end user license agreement, available HERE, accompanying or linked from a Service feature or Ancillary Software intended for use by Permitted Third Parties or other individuals who may not be subject to the TOS. For the avoidance of doubt, the TOS and applicable Ordering Document take precedence over any EULA as to Customer. 

16. “Evaluation Period” means (a) the pre-determined evaluation period, if an evaluation period is pre-determined in Services being evaluated, (b) the period specified in an Ordering Document or other method by which Customer orders or obtains access to the Services for evaluation purposes, or (c) thirty (30) days from the date the Services are made available to Customer for evaluation purposes, if neither (a) nor (b) apply. 

17. “Jet Connector” means the virtual token that is consumed (one on each end) when a Route is created using Jet. 

18. “Manager” means the item known as a Signiant Manager, used in connection with Flight Deck. 

19. “Member” means a unique email address registered on the Media Shuttle system. A Member may or may not be an Active User in any given period. 

20. “Ordering Document” means an order form, subscription order schedule, purchase order or similar document (a) specifying the ordered Services, subscription duration, subscription fees, and associated details, and (b) signed by Customer and Signiant. 

21. “Overage” means the fees charged to Customer in the event that Customer’s use of a given Service exceeds the limits, if any, specified in the applicable Ordering Document. This may include, for example, the number of Active Users of Media Shuttle, number of Jet Connectors consumed in the use of Jet, number of Managers or number and types of Agents used in connection with Flight Deck, number of Media Engine users, amount of included Cloud Data, or other specified usage metric. 

22. “Permitted Third Parties” means third parties, such as customers, consultants or vendors of Customer whom Customer authorizes to access or use the Services, in each case where permitted (and subject to any limitations) in the Ordering Document, the TOS and the functionality available in the Services. 

23. “Privacy Policy” means Signiant’s published Privacy Policy as posted on its website or otherwise made available through or in connection with Services, as updated from time to time. 

24. “Prohibited Content” means any data or other materials that (a) are access-restricted under any applicable law or regulation, (b) are illegal to possess or transmit under any applicable law or regulation, or (c) contain personal data of or relating to minors. 

25. “Proprietary Information” means non-public information disclosed by Customer or Signiant (including, as to Signiant, the Services) and any and all trade secrets or other confidential or proprietary information designated as such orally or in writing by the disclosing party at the time of disclosure. 

26. “Registered” means, in connection with Flight Deck, that the Agent security certificate located within Flight Deck has been stored in the Manager or exchanged with other Manager(s). 

27. “Route” refers to the transmission path between two Endpoints, as defined by two discrete Jet Connectors. Individual Routes may not share Jet Connectors. 

28. “Services” means Signiant’s proprietary online platform and associated components, features, software and services, as identified in an Ordering Document. Service components or features with their own trade names include the following: 

“Flight Deck”; “Jet”; “Media Engine”; “Media Shuttle”; and “Reach Engine”. 

29. “Signiant” means Signiant Inc. and/or its Affiliates, as applicable. 

30. “Subscription Price” means the fee (excluding Overage and Data Out Fees)) for each period (typically, annual) within the Term for the applicable Services, as specified in the applicable Ordering Document(s). 

31. “Term” as to any Service means the term (and any renewals) specified in the applicable Ordering Document. 

32. “Updates” means patches, releases, modifications and updates to, and new versions of, the Services or any of its components, in each case implemented or otherwise made available by Signiant to its customers generally and at no additional charge, but excluding any Service or feature marketed by Signiant as a separate Service or as a module for which Signiant generally charges additional fees.
